At a glance: two partners, ₹1 lakh contribution, office in Hyderabad
- Government fees: ₹200 (RUN-LLP) + ₹500 (FiLLiP) + ₹50 (Form 3) = ₹750
- Telangana stamp duty on the LLP agreement: ₹500
- DSCs: about ₹1,000 to ₹2,500 each at market prices, so ₹2,000 to ₹5,000 for two partners
- Out of pocket before any professional fee: about ₹3,250 to ₹6,250
- Tax Garden's plans: ₹5,000, ₹8,500 or ₹12,500, depending on what you need
The cost, item by item
| Item | Amount | Paid to |
|---|---|---|
| RUN-LLP (name reservation) | ₹200 per application | MCA |
| FiLLiP (incorporation) | ₹500 to ₹5,000, by contribution (table below) | MCA |
| Form 3 (LLP agreement) | ₹50 for contribution up to ₹1 lakh | MCA |
| Stamp duty on the LLP agreement | ₹500 (₹100 if capital is up to ₹5,000) | Telangana government |
| Class 3 DSC, one per designated partner | About ₹1,000 to ₹2,500 each (market price) | Certifying authority or reseller |
| Professional fee | Varies by firm | Your consultant |
The DSC is the one item here that is not a fixed government fee. Each issuer sets its own price, and the price changes with validity (one, two or three years) and whether a USB token is included.
FiLLiP fee by contribution
| Partners' total contribution | FiLLiP fee |
|---|---|
| Up to ₹1 lakh | ₹500 |
| Above ₹1 lakh, up to ₹5 lakh | ₹2,000 |
| Above ₹5 lakh, up to ₹10 lakh | ₹4,000 |
| Above ₹10 lakh | ₹5,000 |
Most small LLPs start with a contribution of ₹1 lakh or less, which keeps the FiLLiP fee at ₹500. You can raise the contribution later. When an increase moves the LLP into a higher slab, the difference in fees is paid through Form 3.
There is no minimum contribution under the LLP Act, 2008.
Telangana stamp duty
Stamp duty is set by each state. In Telangana, the LLP agreement carries ₹100 where the capital is up to ₹5,000 and ₹500 in any other case. Stamp the agreement before or when the partners sign it.
What Tax Garden charges
| Plan | Fee | What it covers |
|---|---|---|
| Basic LLP | ₹5,000 | LLP formation, standard agreement, MCA filing, email support |
| Complete Setup | ₹8,500 | Formation, agreement, MCA filing, post-formation guidance, WhatsApp support |
| LLP + GST + Bank | ₹12,500 | LLP registration, GST registration, bank account guidance, agreements, 3 months of support |
Government fees, stamp duty and DSCs depend on how many partners you have and how much they contribute, so confirm with us which of these your plan covers. See the LLP registration service for details.
When you compare quotes from different firms, check the same thing: whether the price covers DSCs for every partner, the MCA fees, stamp duty, and the Form 3 filing after incorporation. A low headline price often covers only the professional fee.
How registration works
All filings are made online on the MCA portal. Name reservation and incorporation are processed by the Central Registration Centre (CRC).
- Get a DSC for each designated partner. A Class 3 DSC is needed to sign MCA forms. It is usually issued within a day or two after video and document verification.
- Reserve the name. File RUN-LLP with up to two proposed names. You can also reserve the name inside the FiLLiP form itself. A rejected name means a fresh application. Check the MCA name search and the trademark registry before choosing a name.
- File FiLLiP. It carries partner details, the registered office address, the contribution, and the subscription sheet. Designated partners who don't have a DIN can apply for it through FiLLiP. The LLP's PAN and TAN are applied for through the same form.
- Get the Certificate of Incorporation. The Registrar issues it with the LLPIN, and the PAN and TAN are allotted.
- Sign the LLP agreement and file Form 3 within 30 days of incorporation. Late filing attracts an additional fee that grows with the delay, worked out as a multiple of the normal fee.
When the names and documents are accepted the first time, the whole process often takes 7 to 10 working days. There is no fixed government timeline.
Who can be a partner
An LLP needs at least two partners and at least two designated partners who are individuals. At least one designated partner must be resident in India, which under Section 7 of the LLP Act means staying in India for at least 120 days in the financial year.
Documents to keep ready
| Document | For |
|---|---|
| PAN | Each partner (Indian nationals) |
| Aadhaar, passport, voter ID or driving licence | Identity proof of each partner |
| Bank statement or utility bill | Address proof of each partner |
| Photograph | Each partner |
| Utility bill for the office, not more than two months old | Registered office proof |
| Rent agreement and no-objection letter from the owner | If the office is rented |
| Class 3 DSC | Each designated partner |
LLP or private limited company?
The registration fee is only part of the decision. What matters more is the cost of staying compliant every year.
| Point | LLP | Private limited company |
|---|---|---|
| Annual MCA filings | Form 11 (due 30 May) and Form 8 (due 30 October) | AOC-4 and MGT-7, plus board meetings and an AGM |
| Statutory audit | Only if turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh | Every year |
| Income tax rate | 30% plus cess (surcharge above ₹1 crore income) | 22% plus surcharge and cess under Section 115BAA, if opted |
| Raising equity funding | Not possible through share issue | Possible |
If you plan to raise investment from outside investors, a private limited company is usually the better fit. For a professional practice or a small business with a few owners, an LLP's lighter compliance often costs less over time. Our business structure comparison goes into the tax side, and the LLP annual compliance guide covers the yearly filings.
Mistakes that add cost
| Mistake | What it costs |
|---|---|
| Name too close to an existing company, LLP or trademark | A fresh ₹200 RUN-LLP application and a few days' delay |
| Office utility bill older than two months | FiLLiP sent back for resubmission |
| Declaring a large contribution on day one | A higher FiLLiP fee and, in some states, higher stamp duty |
| Missing the 30-day Form 3 deadline | Additional fees that keep growing with the delay |
| Comparing quotes without checking what they include | DSCs, MCA fees and stamp duty added later |
How Tax Garden helps
We arrange the DSCs, reserve the name, draft the LLP agreement, file FiLLiP and Form 3, and can register the LLP for GST in the same engagement. After incorporation, we can take on the yearly Form 11, Form 8 and ITR-5 filings. Start with our LLP registration service, or read the step-by-step LLP registration guide. For the signature part, see our guide to DSCs for tax and MCA filings.
